The Information Memorandum for investors ("the Memorandum") will be issued by HPp, a company that operates in the industrial research and energy and hydrogen production market, upon completion of the form below under the conditions set out below for the exclusive use of investors who intend make a concrete proposal with demonstration of investment potential. This Memorandum is confidential and is made available strictly pursuant to the Non-Disclosure Agreement (“NDA”) that will be provided to the recipient upon completion of the form below. In particular, the recipient has agreed not to solicit, directly or indirectly, any person currently employed by the Company and identified as a result of any information (written or oral) regarding the Company provided to him or acquired by him during the investigation of the potential investment in the Society. By accepting this Memorandum, the recipient agrees, in addition to the other terms of the Confidentiality Agreement, not to use or disclose the information contained in this Memorandum or any other information made available except as expressly permitted by the terms of the Confidentiality Agreement.
